Terms and Conditions
Effective date: August 25, 2026
These terms govern every quote, order, and delivery from Merit3D (“Merit3D,” “we”). Merit3D is a contract manufacturer of additively manufactured parts, produced on SLA and SLS systems. Like any manufacturing process, additive manufacturing has limitations and tolerances — including color, finish, and material variation — that you should understand before ordering. Placing an order means you accept these terms. Terms on your purchase order that conflict with these do not apply unless we accept them in writing. If you have a signed Manufacturing and Supply Agreement with us, that agreement controls where the two conflict.
1. Quotes and estimates
Prices from our instant estimate tool are ballpark figures, not offers. A written quote from Merit3D is valid for 30 days. Quotes are based on the CAD files, quantities, materials, and specifications you provide; changes to any of those may change the price.
2. Approval parts
Before mass production, we provide an approval part — a physical part, digital file, or image of the final product. Production begins after you approve it. The approved part becomes the standard your production parts are measured against. We may charge for samples and for the time and cost of producing them. All product specifications, tolerances, and critical dimensions must be communicated to us in writing before your order is placed.
3. Fitness for your application
We can provide manufacturer material specifications (TDS), but published values are the material maker’s data from their test conditions, not a guarantee of performance in your product. You are responsible for testing parts for your specific application — mechanical, thermal, chemical, regulatory, and safety — and confirming they meet your requirements before production and before sale to your customers.
Medical, dental, and other sensitive applications. Some of our suppliers have had their materials tested for medical purposes, including biocompatibility. Those results are preliminary — they show the material is capable of passing, not that your part is certified. For a part to pass completely, a physical part must be sent to a certifying body, and you are responsible for any testing your end use requires. Merit3D does not certify or guarantee its process for medical applications. A property stated on a TDS does not mean your part will meet it automatically.
4. Your files and intellectual property
Your designs stay yours. By sending us CAD files, drawings, samples, or specifications, you grant us a license to use them only to quote and manufacture your parts. We do not sell, share, or manufacture your designs for anyone else. Our manufacturing processes, print-preparation files, fixtures, and production know-how remain ours.
5. Your warranties to us
You represent that (a) you own or have rights to everything you send us; (b) manufacturing your parts will not infringe any patent, trademark, copyright, or trade secret; (c) you will comply with all requirements of California Proposition 65, including providing any packaging and label warnings it requires; and (d) your end products, and your use and sale of them, will comply with all applicable laws and regulations. Regulatory compliance of the finished product you sell — including consumer-safety, firearm, medical, and export rules — is your responsibility.
We do not research patents, copyrights, or infringement. As a contract manufacturer we make parts to your files; confirming you have the right to have them made is your responsibility.
6. Quality and nonconforming parts
Merit3D operates an AS9100 Rev D and ISO 9001:2015 certified quality management system. Certificates of conformance are available on production orders on request. Inspect parts on receipt and notify us of any claimed nonconformance within 10 business days of delivery; parts not rejected in that window are accepted. If parts do not conform to the approved approval part, we will, at our option, reprint the nonconforming parts or refund what you paid for them. That is the exclusive remedy for nonconforming parts.
7. Returns
Every part we make is custom-manufactured to your files. Parts cannot be returned for convenience, and unopened-box returns do not exist in custom manufacturing. See Section 6 for nonconforming parts, and our Return Policy page for the customer-facing summary.
8. Changes and cancellations
You may change or cancel an order in writing before production starts. You may not cancel an order after production has commenced, and we do not provide refunds after production has commenced. We may, under appropriate conditions and at our discretion, elect to replace parts, subject to appropriate change-order charges. Design changes after approval-part sign-off require a new approval part.
9. Delivery, title, and risk of loss
Shipping dates are good-faith estimates, not guarantees. Parts ship FOB Origin from our facility in Price, Utah — we arrange freight, bill it to you, and title and risk of loss pass to you on delivery to the carrier. We are not liable for carrier delays. If you supply a shipping account, carrier terms are between you and the carrier.
10. Payment
Payment is due before we deliver your parts, unless we have approved credit terms for your account in writing; where we have, the terms stated on your invoice apply. Orders over $5,000 require a deposit of at least 50% before production begins, stated on your quote or on a retainer invoice. Payment is by ACH or credit card unless we agree otherwise in writing, and you may be responsible for transaction fees. Late balances accrue 1.5% per month or the maximum allowed by law, whichever is less, and we may pause production or shipment on past-due accounts. You are responsible for taxes and duties other than taxes on our income.
11. Export control and ITAR
Merit3D is ITAR registered. If your parts, files, or specifications are subject to ITAR or EAR, you must tell us in writing before sending them, and you must not upload export-controlled technical data through our public estimate tools. Both parties will handle controlled technical data in accordance with applicable export laws. You are responsible for classifying your own technical data.
12. Limited warranty; disclaimer
We warrant that delivered parts will conform to the approved approval part in material and workmanship at delivery. EXCEPT FOR THAT WARRANTY, MERIT3D DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MERIT3D’S TOTAL LIABILITY ARISING FROM ANY ORDER IS LIMITED TO THE AMOUNT YOU PAID FOR THAT ORDER, AND MERIT3D IS NOT LIABLE FOR LOST PROFITS, LOST BUSINESS, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THEIR POSSIBILITY.
14. Indemnification
You will defend and indemnify Merit3D against third-party claims arising from (a) infringement claims based on designs, files, or samples you provided, (b) products you sell that incorporate parts we manufactured to your specifications, or (c) a corrupted file, virus, or similar harmful item originating in material you sent us, except to the extent a claim results from our failure to match the approved approval part.
15. Confidentiality
Each party will protect the other’s non-public business and technical information and use it only to perform under these terms. This obligation survives for 3 years after the last order. A signed NDA, if any, controls over this section.
16. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including material shortages, utility failures, natural disasters, or government action. If a force majeure event continues more than 60 days, either party may cancel affected orders; you pay only for work completed.
17. Governing law and disputes
These terms are governed by Utah law, without regard to conflicts rules. Any legal proceeding relating to these terms or to an order will be brought and litigated solely in the State of Utah. Venue is the state or federal courts covering Carbon County, Utah, and both parties consent to that jurisdiction. In any action to enforce payment of amounts you owe us, the prevailing party is entitled to its reasonable attorney’s fees, court costs, and related collection costs.
18. Firearms and regulated components
Merit3D holds a Type 07 Federal Firearms License (Manufacturer of Firearms Other Than Destructive Devices). Merit3D may accept work involving firearms and firearm components regulated under the Gun Control Act, subject to written agreement on the specific scope. Where Merit3D manufactures a firearm frame, receiver, or other item requiring marking under 27 CFR 478.92, marking, serialization, and recordkeeping responsibilities will be set out in writing before production begins. You represent that you hold any federal, state, and local licenses required for you to receive, possess, and transfer the items ordered. Items regulated under the National Firearms Act are not accepted unless we have confirmed in writing that we can lawfully perform the work.
19. Obscenity and vulgarity
Merit3D does not produce parts that depict sexual violence, genitalia, or sexual acts, and we reserve the right to refuse to produce any product that is obscene or sexual in nature. Medical and scientific parts may be an exception. We ask you to be respectful of what our people have to see.
20. Marketing
With your permission, we may feature photographs and video of your parts and project in Merit3D’s marketing and social media. We will ask before we do, and you can decline or withdraw permission at any time.
21. General
If any provision is unenforceable, the rest remain in effect. These terms plus your quote and approved approval part are the entire agreement for an order. We may update these terms prospectively by posting a new version with a new effective date; the version in effect when you place an order governs that order.
